The duty to act collectively – issue for trustees to consider
Trustees have a duty to act collectively. This means that when trustees make decisions they must do so as a whole body. All trustees will be jointly and severally responsible for decisions reached. Meetings are the formal setting in which trustees consider all relevant factors, debate the issues and reach a decision.
The duty to act collectively can raise questions in a few areas:
- what happens when you are in a minority who voted against the decision?
- what about decisions taken when trustees are absent from a meeting?
- what about decisions ‘in between’ meetings?
Trustees do not have to reach unanimous decisions. A majority decision will be effective unless the charity’s governing documents specifies otherwise. When a trustee votes against a decision in respect of which the majority of trustees vote in favour, then the minority trustee is still bound by that decision and is jointly and severally liable for that decision. If you vote against a decision you should ensure that your vote is recorded in the written minutes. If your charity has adopted a code of conduct for trustees, that code may state that trustees’ decisions are communicated in a unified manner and you will be bound by that code. If the decision is one which you are unable to accept then you should consider resignation. If you do stand down as a trustee you should ensure that there is a written record of the date on which your resignation became effective and that this is recorded in the annual return to the Charity Commission which details the names of trustees.
A trustee who is absent from a meeting is still jointly and severally liable for and bound by decisions made in his/her absence.
Urgent matters do sometimes arise between meetings which require a decision before the next trustee meeting. Trustees must act collectively and an individual (perhaps the Chair or Treasurer) cannot take that decision individually unless explicitly authorised to do so. The authorisation might be found in the governing document or an agreed delegation of powers. Any decisions made on this basis must be reported to the next trustee meeting. Trustees should plan their meeting schedule to ensure that they meet with the frequency needed to carry out their duties and make decisions in a timely manner.
Charities and the Electoral Commission
With a general election around the corner, the Charity Commission has released guidance on Charities and Elections. The guidance will enable a charity to determine whether it needs to register with the Electoral Commission. Charities should be, and be seen to be, independent from party politics. The Charity Commission guidance will enable charities to retain their independence and use their voice effectively at election time. Charities which use material that could be seen as indicating to the public that particular parties or candidates support or oppose their policies may need to register with the Electoral Commission. Any organisation which campaigns on a political issue in an election period and spends over £10K in England or £5K in the rest of the UK is required to register with the Electoral Commission.

Charity bill runs out of parliamentary time
In September 2009 the Office of the Third Sector published a draft bill for public consultation. The consultation period expired in December 2009. The purpose of the bill was to combine parts of the Charities Acts 1993 and 2006 into a single statute.
With an election in the wind it isn’t surprising to learn that the Office of the Third Sector has announced that the draft bill will not be finalised in the current parliament. A summary of the responses received will be published together with a revised draft bill, and the Office of the Third Sector intends to work with the Law Commission to get the draft bill through the next parliamentary session.
The Charity Law Association working party expressed concerns that the draft bill did not include fundraising provisions of the 1993 and 2006 Charities Acts. Critics of the draft bill hope that this postponement may provide an opportunity to secure a more comprehensive consolidation of charity law.
Exempt charities required to register with Charity Commission given extra time
In a House of Lords debate at the end of January, it was announced that the date when exempt charities must register with Charity Commission has been delayed until 1 June 2010.
Many exempt charities report to a regulator within their sector. Under the ‘principal regulator approach’ that existing regulator will become responsible for ensuring compliance with charity law. Exempt charities with a principal regulator will not have to register with the Charity Commission as well. If no principal regulator exists and the exempt charity has an income in excess of £100K then that charity must register with the Charity Commission by 1June 2010.
In England higher education institutions have a principal regulator which means that they do not have to register with the Charity Commission. In Wales, higher education institutions do not have a principal regulator and do have to register with the Charity Commission where their income exceeds £100K.
Charities and direct debit fraud
The Charity Commission has been made aware of a number of instances where fraudulent direct debits have been set up from charity bank accounts. Trustees have a responsibility to ensure sound financial control of their organisation and the Charity Commission guidance is worth considering.

Preparing trustees for public sector funding cuts
The third sector is currently awash with surveys and reports on the state of the sector and the impact of public funding cuts. The general consensus is that charities will lag behind the rest of the UK economy in recovering from the recession, with the full impact of funding cuts yet to hit. Trustees need to be assessing the risk of such cuts on their own organisations and formulating strategic plans in preparation for the worst.
WCVA’s Recession Survey in January 2010 found that 30 per cent of responding organisations had experienced financial difficulties in the previous 3 months, an improvement on the previous survey in September 2009 when 39 per cent had experienced difficulties. However, 44 per cent of respondents believe that the financial situation of their organisation will get worse in the next 12 months. As a result of the recession, this survey shows that 47 per cent of organisations expect demand for their services to increase, but are aware of the impending stresses as delivery of increased volumes of service is not balanced with increased funding.
Current WCVA figures show that approximately £350 million is given to the third sector in Wales by government – which amounts to 2% of expenditure on public services. This could be an ‘easy target’ for cuts. Some organisations are heavily dependent on funding from local authorities, local health boards, Welsh Assembly Government or Assembly Government Sponsored Bodies. These could be vulnerable to cuts in public expenditure.
It is vital for trustees to receive succinct, accurate financial information in a timely manner. Organisations should be looking for monthly management reports which outline key performance indicators as well as financial information. Now, more than ever, trustees should be looking to develop and implement a sustainable income strategy. Where appropriate, they should try to identify new and sustainable income streams to try and avoid an over-reliance on one source of funding. At the same time, charities could investigate partnerships and other approaches to achieving operational efficiency. Now is the time to be renegotiating agreements and reviewing costs.
So how do the trustees, assess their current position, review the risks and formulate the necessary strategic plans? There is a wealth of information available; a straight forward starting point is the Charity Commission’s Big Board Talk (www.charitycommission.gov.uk.). This is an economic downturn checklist, consisting of 15 main questions divided into four broad areas:
- Strategy – opportunities and risks
- Financial health
- Governance
- Making best use of resources
Each main question is supplemented by further questions and points of reference for additional information and guidance. Whilst not all questions will be appropriate for every charity it is a useful starting point for discussion. Why not make some time as a Board to meet and work through this document? It could be time well spent.
In order to survive the next 12 months, senior management and trustees must understand and acknowledge any problems their organisations face; a well-planned and tested business plan for the next 2 to 5 years is key. There are positive steps to be taken such as: seeking new sources of income, increasing fundraising activities and considering collaboration on projects and joint ventures. Those organisations that are well-managed can expect to emerge stronger from these difficult times.

WCVA Conferences
The Wales Charity Law Conference 2010 is to be held in Cardiff on 20 May. The aim is to deliver advice and guidance on the areas of law of greatest interest to you. Current plans include employment law updates, advice on using the Charity Commission toolkit when considering collaborative working, and drafting and implementing a trustee code of conduct.

Trustee resources and training opportunities
Being a trustee is both hugely rewarding and demanding. To support trustees discharge their duties, WCVA works in partnership with others to provide a variety of services.
WCVA, in partnership with local county voluntary councils (CVCs), produces a suite of Information Sheets on a wide variety of topics including ‘Trustee and Governance’. These sheets can be obtained from your local CVC or can be downloaded from the WCVA trustee website.
A nationwide programme of affordable training for voluntary and community groups is delivered through a partnership between local county voluntary councils. The courses cover the A to Z of running a voluntary or community group. Elusennau a’r Comisiwn Etholiadol
A ninnau ar drothwy etholiad cyffredinol, mae’r Comisiwn Etholiadol wedi rhyddhau canllawiau ar Elusennau ac Etholiadau. Bydd y canllawiau’n galluogi elusen i benderfynu a oes angen iddi gofrestru â’r Comisiwn Etholiadol. Dylai fod yn amlwg i bawb bod elusennau’n annibynnol ar wleidyddiaeth pleidiau. Bydd canllawiau’r Comisiwn Elusennau’n galluogi elusennau i gadw’u hannibyniaeth a defnyddio’u llais yn effeithiol ar adeg etholiad. Efallai y bydd angen i elusennau sy’n defnyddio deunydd sy’n rhoi’r argraff i’r cyhoedd bod pleidiau neu ymgeiswyr penodol yn cefnogi neu’n gwrthwynebu eu polisïau gofrestru gyda’r Comisiwn Etholiadol. Mae’n ofynnol i unrhyw sefydliad sy’n ymgyrchu ynglŷn â mater gwleidyddol yn ystod cyfnod etholiad ac sy’n gwario dros £10,000 yn Lloegr, neu £5,000 yng ngweddill y Deyrnas Unedig, gofrestru â’r Comisiwn Etholiadol.

Dim digon o amser seneddol i’r mesur elusennau
Ym Medi 2009 cyhoeddodd Swyddfa’r Trydydd Sector fesur drafft ar gyfer ymgynghoriad cyhoeddus. Daeth y cyfnod ymgynghori i ben yn Rhagfyr 2009. Pwrpas y mesur oedd cyfuno rhannau o Ddeddfau Elusennau 1993 a 2006 i ffurfio un statud.
Gydag etholiad ar y gorwel nid yw’n syndod clywed bod Swyddfa’r Trydydd Sector wedi cyhoeddi na fydd y mesur drafft yn cael ei gwblhau yn ystod tymor y senedd bresennol. Bydd crynodeb o’r ymatebion a dderbyniwyd yn cael ei gyhoeddi ynghyd â mesur drafft diwygiedig, ac mae Swyddfa’r Trydydd Sector yn bwriadu gweithio gyda Chomisiwn y Gyfraith i gael y mesur drafft drwy’r sesiwn seneddol nesaf.

Mae llawer o elusennau eithriedig yn adrodd i gorff rheoleiddio yn eu sector. Dan y ‘trefniadau prif gorff rheoleiddio’ bydd y corff rheoleiddio presennol hwnnw’n dod yn gyfrifol am sicrhau cydymffurfiad â chyfraith elusennau. Ni fydd yn rhaid i elusennau eithriedig sydd â phrif gorff rheoleiddio gofrestru â’r Comisiwn Elusennau hefyd. Os nad oes prif gorff rheoleiddio, ac os oes gan yr elusen eithriedig incwm sy’n fwy na £100,000, yna rhaid i’r elusen honno gofrestru gyda’r Comisiwn Elusennau cyn 1 Mehefin 2010.
Yn Lloegr, mae gan sefydliadau addysg uwch brif gorff rheoleiddio, ac mae hynny’n golygu nad oes rhaid iddynt gofrestru â’r Comisiwn Elusennau. Yng Nghymru, nid oes gan sefydliadau addysg uwch brif gorff rheoleiddio ac mae’n rhaid iddynt gofrestru â’r Comisiwn Elusennau os yw eu hincwm yn fwy na £100,000.

Mae’r trydydd sector ar hyn o bryd yn llawn arolygon ac adroddiadau am gyflwr y sector ac effaith toriadau mewn cyllid cyhoeddus. Y farn gyffredinol yw y bydd elusennau’n cymryd mwy o amser na gweddill economi’r Deyrnas Unedig i gael eu traed danynt ar ôl y dirwasgiad, gan nad yw effeithiau llawn y toriadau ariannol wedi’u taro’n iawn eto. Mae angen i ymddiriedolwyr asesu risg toriadau o’r fath ar eu sefydliadau eu hunain a llunio cynlluniau strategol i baratoi ar gyfer y gwaethaf.
Canfu Arolwg WCVA o effeithiau’r Dirwasgiad yn Ionawr 2010 fod 30 y cant o’r sefydliadau a ymatebodd wedi wynebu anawsterau ariannol yn ystod y 3 mis blaenorol, sy’n well na’r arolwg blaenorol ym Medi 2009 pan nododd 39 y cant eu bod wedi wynebu anawsterau. Er hyn, roedd 44 y cant o’r ymatebwyr yn credu y byddai sefyllfa ariannol eu sefydliad yn gwaethygu yn ystod y 12 mis nesaf. Mae’r arolwg hwn yn dangos bod 47 y cant o’r sefydliadau’n disgwyl cynnydd yn y galw am eu gwasanaethau, o ganlyniad i’r dirwasgiad, ac yn ymwybodol y byddant dan gryn dipyn o bwysau gan na fydd mwy o arian ar gael i ddarparu ar gyfer y cynnydd hwn yn y galw.
Mae ffigurau presennol WCVA yn dangos bod tua £350 miliwn yn cael ei roi i’r trydydd sector yng Nghymru gan y llywodraeth – sef 2% o’r gwariant ar wasanaethau cyhoeddus. Gallai hwn fod yn ‘darged hawdd’ ar gyfer toriadau. Mae rhai sefydliadau’n ddibynnol iawn ar arian gan awdurdodau lleol, byrddau iechyd lleol, Llywodraeth Cynulliad Cymru neu Gyrff a Noddir gan Lywodraeth y Cynulliad. Gallai’r rhain fod yn agored i doriadau mewn gwariant cyhoeddus.
Mae’n hanfodol bod ymddiriedolwyr yn cael gwybodaeth ariannol gryno a chywir mewn pryd. Dylai sefydliadau fod yn ystyried adroddiadau rheoli misol sy’n amlinellu dangosyddion perfformiad allweddol yn ogystal â gwybodaeth ariannol. Heddiw, yn fwy nag erioed, dylai ymddiriedolwyr fod yn ceisio datblygu a gweithredu strategaeth incwm gynaliadwy. Lle bo’n briodol, dylent geisio nodi ffrydiau incwm newydd a chynaliadwy er mwyn ceisio osgoi gorddibyniaeth ar un ffynhonnell ariannol. Yr un pryd, gallai elusennau fod yn edrych ar bartneriaethau a dulliau eraill o sicrhau effeithlonrwydd yn eu gwaith. Dyma’r amser i aildrafod cytundebau ac adolygu costau.
Felly sut mae’r ymddiriedolwyr yn asesu eu sefyllfa bresennol, yn adolygu’r risgiau ac yn llunio’r cynlluniau strategol angenrheidiol? Mae llawer o wybodaeth ar gael. Un man cychwyn defnyddiol yw Big Board Talk gan y Comisiwn Elusennau (www.charitycommission.gov.uk.). Rhestr gyfeirio yw hon ar gyfer y dirywiad yn yr economi, ac mae’n cynnwys 15 prif gwestiwn wedi’u rhannu’n bedwar maes cyffredinol:

- Gwneud y defnydd gorau o adnoddau
Ategir pob un o’r prif gwestiynau gan gwestiynau eraill a chyfeiriadau at ragor o wybodaeth a chanllawiau. Ni fydd pob cwestiwn yn briodol i bob elusen, ond mae’n fan cychwyn defnyddiol ar gyfer trafodaeth. Beth am neilltuo ychydig o amser fel Bwrdd i fynd drwy’r ddogfen hon gyda’ch gilydd? Gallai fod yn ffordd fuddiol o dreulio’ch amser.
Er mwyn goroesi’r 12 mis nesaf, rhaid i uwch reolwyr ac ymddiriedolwyr ddeall a chydnabod unrhyw broblemau y mae eu sefydliadau’n eu hwynebu; mae’n bwysig iawn cael cynllun busnes wedi’i gynllunio’n dda, ac wedi’i brofi, ar gyfer y 2 i 5 mlynedd nesaf. Mae rhai camau cadarnhaol y gellir eu cymryd, e.e. chwilio am ffynonellau incwm newydd, cynyddu gweithgareddau codi arian ac ystyried cydweithio ar brosiectau a mentrau ar y cyd. Gall y sefydliadau hynny sy’n cael eu rheoli’n dda ddisgwyl dod o’r cyfnod anodd hwn yn gryfach.

Cynadleddau WCVA
Cynhelir Cynhadledd Cyfraith Elusennau Cymru 2010 yng Nghaerdydd ar 20 Mai. Y nod yw darparu cyngor a chanllawiau ar yr agweddau hynny ar y gyfraith sydd o’r diddordeb mwyaf i chi. Mae’r cynlluniau presennol yn cynnwys y newyddion diweddaraf am gyfraith cyflogaeth, cyngor ynglŷn â defnyddio pecyn cymorth y Comisiwn Elusennau wrth ystyried gweithio ar y cyd, a drafftio a gweithredu cod ymddygiad ar gyfer ymddiriedolwyr.

Adnoddau a chyfleoedd hyfforddiant ar gyfer ymddiriedolwyr
Mae bod yn ymddiriedolwr yn rhoi llawer o bleser ond mae hefyd yn gallu bod yn waith anodd. Er mwyn cynorthwyo ymddiriedolwyr i gyflawni eu dyletswyddau, mae WCVA yn gweithio mewn partneriaeth â chyrff eraill i ddarparu gwasanaethau amrywiol.
Mae WCVA, mewn partneriaeth â chynghorau gwirfoddol sirol, yn cynhyrchu cyfres o Daflenni Gwybodaeth ar amrywiaeth eang o bynciau, gan gynnwys ‘Ymddiriedolwyr a Llywodraethu’. Mae rhaglen genedlaethol o hyfforddiant fforddiadwy i grwpiau gwirfoddol a chymunedol yn cael ei darparu drwy bartneriaeth rhwng cynghorau gwirfoddol sirol lleol. Mae’r cyrsiau’n ymdrin â phob agwedd ar redeg grŵp gwirfoddol neu gymunedol. Beth sy’n digwydd yn y Cynulliad? Sut y gallai hynny effeithio arnoch chi?
Bydd gallu deddfwriaethol y Cynulliad yn cynyddu o hyd. Mae angen i fudiadau gwirfoddol fod yn ymwybodol o’r ffordd y maent yn cael eu rheoleiddio gan y Cynulliad. Er mwyn sicrhau eich bod yn gwybod y newyddion diweddaraf o Gynulliad Cenedlaethol Cymru mae Lleisiau dros Newid Cymru, dan ofal WCVA, yn darparu gwasanaeth monitro di-dâl. Recriwtio Ymddiriedolwyr
Mae canolfannau gwirfoddoli sirol lleol yn darparu cyfleusterau sy’n galluogi sefydliadau’r trydydd sector i chwilio am ymddiriedolwyr a gwirfoddolwyr.
Mae Gwirfoddoli Cymru, Recruit 3 a Network jobs, sy’n cael ei gyhoeddi’n wythnosol gan WCVA, hefyd yn cynnig cyfleoedd di-dâl i recriwtio ymddiriedolwyr.
Desg gymorth a manteision aelodaeth o WCVA
Bob mis mae dros 1000 o fudiadau gwirfoddol yn manteisio ar yr wybodaeth, y diweddariadau a’r arbedion y maent yn eu cael drwy fod yn aelodau llawn o WCVA.
Mae aelodaeth lawn yn dechrau am gyn lleied â £30 y flwyddyn ac mae’n cynnwys cylchgrawn i’r trydydd sector sy’n cael ei gyhoeddi ddwywaith y mis, e-friffiau i’r aelodau bob pythefnos a gwasanaeth wedi’i bersonoli er mwyn dod o hyd i grantiau. Yn ychwanegol at hyn mae gan aelodau hawl i gael disgownt ar feddalwedd a chaledwedd cyfrifiadurol, gwasanaethau telathrebu, gwasanaeth cyfieithu, cynnyrch corfforaethol, deunyddiau cyhoeddusrwydd ac yswiriant.
